Scope and professional customers
These Terms and Conditions govern the use of the EVERLANIX COMMERCE website, product enquiries, quotations and wholesale furniture sales to professional customers. The website is intended primarily for businesses, resellers, interior professionals and commercial purchasers operating in France.
By placing an order following acceptance of a quotation, the customer accepts the applicable agreed sales terms. Individual written terms expressly agreed between the parties take precedence where applicable. Mandatory rights under French law remain unaffected.
Products, information and availability
Product descriptions, photographs, dimensions, finishes and specifications are provided to assist professional buyers in evaluating the range. Colours and materials may differ slightly from on-screen representations. Customers should confirm all specifications, compatibility, dimensions and project requirements before approving an order.
Products, configurations and stock availability may change. A listing on the website does not constitute a binding offer or a guarantee of immediate availability.
Wholesale lots and enquiries
Products are offered in wholesale lots. The quantity of units in each lot is indicated on the relevant product listing. Buyers choose the number of lots required; the total number of units is calculated accordingly.
Submitting an enquiry provides EVERLANIX COMMERCE with the requested product, number of lots, contact details and any delivery or configuration instructions. An enquiry is not an order and creates no obligation to purchase or supply. Our team may contact the buyer to confirm the product, quantity, finishes, delivery location and other requirements.
Quotations, prices and VAT
Website prices are indicative wholesale prices, generally displayed in euros excluding VAT unless explicitly stated otherwise. The final quotation may reflect the selected configuration, quantities, availability, applicable VAT, transport costs and any agreed commercial conditions.
A quotation is valid for the period specified in that quotation. Where no period is stated, availability and pricing must be reconfirmed before acceptance. Any discounts, rebates or early-payment reductions are set out in the applicable quotation or commercial agreement; none applies automatically unless expressly offered.
Order confirmation and payment
An order becomes binding only when the parties have agreed the commercial terms and EVERLANIX COMMERCE has issued written order confirmation. The confirmation or accompanying invoice specifies the accepted products, quantities, prices, delivery arrangements, payment method and due date.
Unless different lawful payment terms are expressly agreed, payment is due 30 days following receipt of the goods in accordance with the applicable French B2B default rule. An agreed payment period will not exceed statutory limits. Any deposit or advance payment, if required for a particular transaction, will be stated before confirmation.
Late payments incur penalties at the rate of the European Central Bank's most recent refinancing rate plus ten percentage points, subject to any mandatory minimum under French law, calculated from the day after the payment deadline without the need for a reminder. A fixed recovery charge of €40 per overdue invoice applies in accordance with French commercial law. Additional recovery costs may be claimed where legally permitted and supported by evidence.
Delivery, inspection and risk
Wholesale deliveries are arranged for destinations in France, subject to the agreed quotation and order confirmation. Estimated delivery dates depend on the products, quantities, manufacturing or sourcing lead times and the destination. The order confirmation states the applicable delivery arrangements and allocation of transport costs.
On delivery, customers should inspect the goods and packaging, note any visible damage or shortages on the transport documentation and notify EVERLANIX COMMERCE promptly with the order reference and supporting photographs. Notification requirements do not override any non-excludable statutory rights. Risk transfers as agreed in the order confirmation, subject to applicable law.
Changes, cancellations and returns
Requests to modify or cancel a confirmed wholesale order must be submitted in writing. Their acceptance depends on the order's progress and the agreed commercial terms, particularly for configured, special-order or made-to-order furniture.
Returns are handled according to the agreed return conditions and applicable law. A general consumer cooling-off right should not be assumed for professional wholesale purchases. Statutory protections that cannot lawfully be excluded remain applicable.
Warranty and liability
EVERLANIX COMMERCE will address verified non-conformities and defects in accordance with the contract and applicable French law. Customers should retain evidence of purchase and provide sufficient information to assess a claim.
To the extent permitted by law, neither party is liable for indirect business losses that were not reasonably foreseeable when the contract was concluded. Nothing in these Terms limits liability that cannot legally be excluded or restricted.
Intellectual property and website use
The content, layout, text, branding and other protected materials on this website may not be reproduced or commercially exploited without the relevant rights holder's authorisation, except where permitted by law. Users must not interfere with the website, attempt unauthorised access or submit fraudulent enquiries.
Governing law and disputes
These Terms are governed by French law. In the event of a disagreement, the parties should first seek an amicable resolution by contacting EVERLANIX COMMERCE. If no resolution is reached, jurisdiction is determined by the applicable rules of French law and any valid jurisdiction agreement between the professional parties.
